Welcome to Compass Logistics Company LLC (“Company,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern the use of our transportation, warehousing, and 3PL services and apply to all clients, carriers, vendors, and users of our services across the United States.

By using our services, you agree to be bound by these Terms. If you do not agree, please do not engage with our services.

Scope of Services

Compass Logistics Company LLC is a third-party logistics provider based in Pennsylvania. We offer:

Truckload and less-than-truckload (LTL) freight transportation
Warehouse storage and handling
Cross-docking and freight consolidation
Coordination and management of shipments through partner carriers

We do not assume carrier liability unless expressly agreed in writing or required by regulation.

Client Responsibilities

Clients engaging our services agree to:

Provide accurate shipment details including weight, dimensions, content, and destination
Ensure cargo is properly packaged and labeled in compliance with applicable regulations
Pay all agreed rates, fees, and fuel surcharges in a timely manner
Disclose any hazardous materials and comply with all DOT and FMCSA regulations

Warehouse Operations

Storage is provided on a short- or long-term basis based on availability and contract terms
Inbound and outbound scheduling must be coordinated in advance
We are not responsible for damage caused by improperly packaged goods or concealed damage

Carrier Partnerships

We broker transportation through licensed and insured motor carriers
All carriers must meet FMCSA and DOT compliance standards
We are not responsible for service failures caused by third-party carriers, but we will assist in recovery and resolution

Rates and Payment Terms

All rates are subject to change based on market conditions, fuel costs, and scope of work
Payment is due within [Net 15/30] days from the invoice date unless otherwise agreed
Late payments may be subject to finance charges and collection fees

Claims and Liability

Claims for loss or damage must be reported within 7 days of delivery
Our liability is limited to the terms outlined in the applicable bill of lading or broker-carrier agreement
We are not liable for delays caused by weather, road conditions, strikes, or force majeure events

Insurance

We maintain cargo liability insurance and general liability insurance as required by law
Clients and carriers are responsible for maintaining their own insurance policies appropriate to their role in the supply chain

Termination

We reserve the right to terminate services with any client, vendor, or carrier for violation of these Terms, non-payment, or behavior that jeopardizes the safety or reputation of our business.

Governing Law

These Terms shall be governed by the laws of the Commonwealth of Pennsylvania. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of courts located in Cumberland County, PA.

We reserve the right to update or modify these Terms at any time. Revisions will be posted on our website and effective immediately unless otherwise stated.
